VEGGIE KARMA TERMS AND CONDITIONS OF SALE:

 

Governed by the Spanish Commercial Code, Spanish VAT is applicable to all transactions (except with professionals registered with intra-community VAT number active outside Spain and within the European Union).

 

Between the brand Veggie Karma, owned by Barcelona Veggie Crafters (ESB56601586) - Passeig Lluis Companys 19 - 08003 Barcelona - Spain and the user and/or purchaser of its services and/or products.

Our general terms and conditions of sale will inform you of the conditions under which ("our site", "Veggie Karma", "we", "us") will offer you our products ("products, "articles", "references") via our website www.veggie-karma.com or directly.

 

We have written it as concisely and simply as possible. We advise you to read it carefully before buying a product. In particular, you will learn who we are, how we sell our products and how you can withdraw from the sales contract.

We remind you that as soon as you purchase a product, you accept these terms and conditions of sale and agree to pay the full amount of the sales contract, which includes the related products and services.

 

1.1: The Veggie Karma brand is a registered trademark.

 

1.2 The purchasing process:

All orders are subject to our acceptance. Please check carefully all the information and prices we provide you with throughout the order. Once we accept your order, you will receive a confirmation email. Payment will then be made. Professionals (B2B) will have the possibility to pay their invoices by bank transfer (direct debit). If we do not accept your order, no amount will be paid. We may, under certain circumstances, refuse your order and refund the full amount immediately.

We will send you an email when the goods leave our works.

 

1.3 The return process before delivery:

 Once your order has left, the goods and responsibility for their delivery are transferred to the carrier. If you change your mind after your order has been dispatched, you will have to refuse the goods without taking possession of them. Attention, shipping costs will not be refunded.

 

1.4 Receipt of goods:

When our carrier arrives, please ensure that he can access the place of delivery without complications.

 

1.5 Delivery times:

All products indicated "in stock" (either by telephone, by our sales agents, on the website or any other channel), are usually delivered with short lead times. They leave the workshop in less than 48 hours and you will have to add the following delivery times depending on your geographical area (time between the order and delivery):

 

Spain (mainland) - urban centres: 24 hours

Spain (mainland) - rest of the country: 48 hours

Balearic and Canary Islands - ask for a quote: 48 to 72 hours

Lisbon: 24 hours

Rest of Portugal: 48 hours

France: 48 hours

Rest of Europe - major cities and capitals: 24 hours

Rest of Europe - secondary and remote areas: 48 hours

 

 

Unfortunately, there are imponderables and we are not responsible for deliveries.

We will always do our utmost to achieve your satisfaction.

Of course, we undertake to inform you of any changes in delivery times. If you buy a product that is not in stock, we ask for your patience, it does not take us more than 3 or 4 days to refill our coolers. We also depend on the availability of raw materials for the production of new items. Our aim is for you to have a good experience with us and we will always try to help and solve any problems.

At certain times of the year, lead times may be extended (public holidays, August, end of year holidays, etc.).

 

1.6 Impossibility of delivery:

Our carriers have your address, telephone number and e-mail address in their possession. In addition, some of them have tools to allow you to change the day and time of delivery.

In spite of these modalities, if it is not possible to deliver to you, your products will be returned to our facilities in Barcelona. In this case, taking into account that you will have received an email notifying you of the departure of the goods and the delivery time, if we do not hear from you to plan a new delivery within 4 days after the departure of the goods, we will not refund the amount of the order as we will not be able to propose the returned products again.

 

1.7 Product information:

The images are presented for information purposes only.

We cannot guarantee that there are no nuances in the colours, the textures, moreover, there may be differences between the colours on your screen and the reality.

We produce artisanal, unpasteurised products, which may continue their curing process for weeks after production, resulting in a difference between the weight when packaged and the actual weight at the time of purchase.

All product information is available on our website, in our catalogue or on the product labels. We provide you with the list of ingredients, allergens, traces, nutritional values and expiry date.

 

1.8 Food safety:

Veggie Karma undergoes audits:

(a) to check the absence of gluten both in its bakery and in the raw materials it purchases. Our products are certified by FACE, OAECE annexes, valid in Spain and the European Union.

(b) to check that all our production follows the rules of organic products, certified by the CCPAE, valid in Spain and in the European Union.

(c) from the sanitary authorities to check our facilities, with RSIPAC number 21.11412/CAT and RGSEAA number 21.033478/B

(d) from our laboratory which regularly analyses our finished products, raw materials and carries out shelf life studies on our products.

 

1.9 Prices:

We do our best to ensure that there are no errors in our sales tools, but the amount of information to handle (and the fact that we are human) can cause typographical errors. In any case, once your order is validated, accepted by Veggie Karma, the price will not be changed, except in the case that the price is very low and can only be a manifest error, so we reserve the right to cancel the order after confirmation. We communicate the sales price including VAT on our website and excluding VAT in the price lists and catalogues for professionals. Transport prices are given separately according to the delivery method you choose.

 

1.10 Payment:

We propose several payment methods depending on the sales channel:

- Website www.veggie-karma.com: we accept payments by Paypal, debit or credit card, virtual payments (Apple pay, Google pay etc...).

- Collection point (Passeig de l'Havana 2, Barcelona city): cash and credit card.

- Sales to professionals: we accept payment by bank transfer, but, in order to speed up payments (we are a small team), we prefer payment by direct debit for 30 days through the Go Cardless platform.

 

If you are a professional client and you choose the 30-day direct debit payment, you will need to provide us with your bank details. By providing these bank details and placing your first order you accept our terms and conditions of sale and consent to the Veggie Karma team using these details (fiscal name, address, IBAN and email address) on your behalf to populate the financial entity in charge of the service.


 

1.11 Delivery tracking:

We provide you with order tracking, available on our website up to the time the goods are dispatched to you, and then on our carrier's website when we send the goods to you. In general, transport tracking is available 24 hours after the goods have been dispatched.

 

1.12 Return and right of withdrawal if the product is in conformity:

You do not have the statutory right of withdrawal of 14 days. According to the law 3/2014 of 27 March, the following products do not benefit from the withdrawal period:

(d) The supply of goods that are likely to deteriorate or expire rapidly.

e) The supply of sealed goods that are not suitable for return for reasons of health protection or hygiene and that have been unsealed after delivery.

 

1.13 Return and right of withdrawal if the product arrives damaged:

If the product has arrived damaged, you must write a reservation on the delivery note. It is a fragile product, despite the care we take in packing it, it may be that it has been mishandled or that it has taken shocks, and that it arrives broken, or with blows produced after its manufacture.

In order to process the exchange, we will have to rely on the delivery note which will include your reservations and observations.

 

1.14 Returning a product:

All products must be checked with the driver at the time of delivery. If you feel it is not in conformity, simply repack it and return it to the driver, specifying on the delivery note the reason for the return.

 

2.0 Legal liability and warranties

We have a legal obligation to supply goods that are in accordance with the contract we have agreed with you but we will not be liable to you for any loss of profit, loss of business, business interruption or loss of opportunity.

 

If we fail to perform a contract we have entered into with you, we will be liable for any damage or injury that may be a foreseeable result of our breach of these conditions of sale or our negligence, but we will not be liable for any unforeseeable damage. Damages are foreseeable if they are an obvious consequence of a breach by us of the General Conditions of Sale or if they are defined as such at the time of conclusion of the contract.

 

2.1 Exports

When you order products for delivery to a country outside the European Union, you may be liable to pay import duties and taxes, which will be charged to you when the package arrives at its destination. Any additional costs due to customs clearance will be at your expense. Veggie Karma has no control over such amounts. Customs policies vary significantly from country to country, so please check with the relevant customs office for further information. Please also remember that when you formally place an order you are considered by law to be an importer, and must therefore comply with all applicable laws and regulations in the country in which you receive the product.

Veggie Karma's international customers should be aware that international shipments are subject to inspection and opening by customs authorities.

As an importer, you agree to comply with the regulations and to inform Veggie Karma of any special requirements related to your market. We will not be held responsible for missing commercial or technical information.

 

2.2 Indemnification of losses arising from the sales contract

To the extent permitted by applicable law, the maximum amount of loss or damage for which we will be liable under Clause 2 is limited to the price you paid for the Product to which the loss or damage you suffered relates.

 

2.3 Exclusion of liability

We do not exclude or limit our liability in the following cases:

(a) death or personal injury caused by our negligence;

(b) fraud or fraudulent misrepresentation;

(c) liability imposed by the Consumer Rights Act; (d) defective products under the Consumer Rights Act; or

(d) defective products under the Consumer Protection Act.

 

3. Force Majeure:

Our liability shall not be affected in the event of failure or delay in the performance of our contractual obligations due to events of force majeure, in particular natural disasters, fires, floods, adverse weather conditions, explosions, war (declared or undeclared), acts of terrorism, epidemics, acts of central or local public authorities or any other competent authority, it being understood that:

(a) we will take all reasonable steps to avoid or minimise default or delay; (b) in the event of default, we will refund all sums paid under the relevant contract; and

(c) in the event of significant delay, you may notify us of your decision to cancel your order and we will then refund all sums paid under the relevant contract.

 

4. Dispute resolution

4.1 If you have a dispute with us in relation to the contract we have with you, please contact us first at contact@veggie-karma.com and try to resolve the dispute informally with us. 4.3 In the unlikely event that we are unable to resolve the dispute informally, we draw your attention to the fact that the EU offers an online dispute resolution platform where EU consumers can submit disputes arising from online purchases at the following address: //ec.europa.eu/odr. You also have the opportunity to resolve the dispute by taking legal action.

 

5. Autonomy of provisions

Each of the provisions of these Terms and Conditions of Sale operates separately. If a court or other competent authority decides that any provision of these Terms and Conditions is illegal or unenforceable, the remaining provisions will remain in full force and effect.

 

6. Updating these Terms and Conditions of Sale      

We may modify or update these Terms and Conditions of Sale at any time for various reasons, including in the event of:

(a) a change in the way our organisation operates;

(b) a change in legal or regulatory requirements with which we must comply;

(c) a change in the payment methods we accept.

However, each of your orders for Products will be governed by the terms and conditions published at the time of the order.

 

7. Third Party Rights

Any agreement between you and us is solely between you and us. No third party shall have any rights to invoke its terms.

 

8. Assignment of your rights         

We may assign our rights and obligations under the contract with you to another organisation and we will use reasonable endeavours to notify you in writing if this happens, without affecting your rights or our obligations under the contract. We will use reasonable means to inform you in writing if this happens.

 

9. Applicable law and jurisdiction

These general terms and conditions of sale are governed by Spanish law. This means that a contract relating to the purchase of Products on our site and any subsequent or related dispute or action shall be governed by Spanish law. The courts of Barcelona shall have sole jurisdiction to hear any proceedings relating to this contract.

The provisions of this article apply to buyers defined as "consumers" and "professionals".
